What does the new Corporate Directive 2025/25 mean for you as an entrepreneur?

On January 30, 2025, the new EU Directive 2025/25 came into effect. This directive is about digitization in corporate law and brings significant changes. The goal? Make business data more accessible, improve collaboration between government agencies, and reduce paperwork.

Additionally, partnerships such as the VOF and CommV are becoming more transparent. We list the main changes.

Faster registration of changes in the KBO

Changes in information and documents related to the BV, NV, VOF, CommV recorded in the Crossroads Bank for Enterprises (KBO) must now be communicated within 15 working days, instead of the current 30 calendar days.

Not on time? Sanctions are coming, although the member states still have to determine which ones.

Stricter control when establishing a VOF or CommV

Until now, there was no official control over the reliability of company documents for these forms of company. The directive changes this.

Member states must introduce notarial or judicial control over deeds of incorporation and statutes. How exactly this will be done still needs to be determined.

More transparency for group structures

Groups of companies that have to prepare consolidated financial statements must make their group structure public in the KBO. This means that the parent company must also be registered.

EU company certificate and digital power of attorney

A new EU company certificate is coming. It serves as a kind of identity card for companies and indicates who can legally represent the company.

In addition, a digital EU power of attorney is introduced, allowing companies to designate a specific person to officially represent them. Handy, for example, when establishing branches or cross-border mergers.

When will this take effect?

Belgium has until July 31, 2027, to transpose the directive into national law. For some provisions, a longer period applies, until August 1, 2029.
